1. Parties

This agreement is between BEXT Services trading as Housekeeping Education ("the Company") and the individual or business registering as an agent ("the Agent"). By submitting this form and ticking the agreement checkbox, the Agent confirms they have read, understood, and agreed to the terms set out below.

2. Independent Contractor Status

The Agent operates as an independent contractor and not as an employee, partner, or legal representative of BEXT Services or Housekeeping Education. The Agent is solely responsible for their own taxation, social contributions, reporting obligations, and any legal requirements that apply in their jurisdiction. The Company does not withhold taxes on behalf of the Agent.

3. Eligibility for Commission

Commission is payable only on completed, verified sales that are tracked through the Agent's assigned personal code. Sales that cannot be verified through the Company's internal tracking systems are not eligible for commission or milestone bonuses. System tracking records are considered final for all commission calculation purposes. The Agent acknowledges that incomplete transactions, refunded sales, or disputed sales do not qualify for commission.

4. Verification of Sales

BEXT Services reserves the right to verify all sales through its internal systems and third-party platforms at any time. The Company may request additional information or evidence to support any sales claim. Failure to provide requested verification may result in delay or non-payment of the related commission.

5. Payment Conditions

Payments are made once per month by the 10th of each month, covering verified sales from the previous calendar month. Payment will only be released upon receipt of a valid invoice from the Agent submitted by the 5th of the month. The invoice must include the Agent's full name or business name, address, and the amount due. Invoices should be sent to support@housekeepingeducation.com.au. Payment is made via Revolut or PayPal only. Any transaction fees, transfer fees, or currency conversion costs are the sole responsibility of the Agent.

6. Suspicious Activity and Withheld Payments

BEXT Services reserves the right to reject, delay, or permanently withhold payment where sales cannot be independently verified, where suspicious activity is detected, or where the Agent is under investigation for breach of these terms. The Company is not liable for any losses arising from a decision to withhold payment pending investigation.

7. Fraudulent Claims

The submission of false, misleading, or fraudulent invoices, claims, or activity is a serious breach of this agreement and will result in immediate non-payment of all outstanding amounts, termination of the Agent's participation in the programme, and may be reported to the relevant authorities. The Company reserves the right to pursue recovery of any funds paid on the basis of fraudulent claims.

8. Identity and Business Verification

BEXT Services may request identity verification, business documentation, or proof of address from the Agent before releasing any payment. Failure to provide requested documentation within a reasonable timeframe may result in the delay or suspension of payment until verification is completed.

9. Agent Conduct and Representations

The Agent must not misrepresent the Company, its products, or its services in any way. The Agent must not create, promote, or distribute fake offers, unauthorised discounts, altered pricing, or any promotional material that has not been approved by the Company. The Agent is responsible for ensuring that all communications and promotional activities comply with applicable laws in their jurisdiction.

10. Intellectual Property and Systems

All funnels, landing pages, tracking systems, promotional materials, and digital assets provided by or created on behalf of BEXT Services remain the sole intellectual property of BEXT Services at all times. The Agent's permission to use these systems is limited solely to their participation in this programme. Upon termination, access to all systems, links, and materials will be revoked immediately.

11. Payment Delays and Third-Party Providers

BEXT Services is not liable for any payment delays caused by incorrect payment details submitted by the Agent, issues with third-party payment providers including Revolut or PayPal, currency conversion delays, or any other issue outside the direct control of the Company. It is the Agent's responsibility to ensure that payment details are accurate and up to date.

12. Termination

This agreement may be terminated at any time by BEXT Services if the Agent breaches any of the terms set out in this agreement, engages in conduct harmful to the reputation or business interests of the Company, or for any other reason the Company reasonably deems appropriate. The Agent may also terminate this agreement at any time by notifying the Company in writing at support@housekeepingeducation.com.au. Upon termination, any verified commission owed for completed sales up to the date of termination will be paid in the following payment cycle, subject to receipt of a valid invoice.

13. Governing Law

This agreement is governed by and construed in accordance with the laws of Australia. Any disputes arising under or in connection with this agreement shall be subject to the jurisdiction of the courts of Australia.

14. Amendments

BEXT Services reserves the right to amend the terms of this agreement, commission rates, milestone structures, and payment terms at any time. Agents will be notified of material changes. Continued participation following notification constitutes acceptance of the revised terms.

15. Entire Agreement

This agreement, together with any written confirmation provided by the Company upon approval, constitutes the entire agreement between the parties regarding the Agent programme and supersedes all prior discussions, representations, or agreements relating to the same subject matter.
